TERMS OF USE

The following Terms of Use ("Terms") govern your use of the Advocates Paying Advocates Marketplace ("Marketplace"), a digital platform operated by Dawson Visionary Enterprises, LLC ("Company," "we," "us," or "our"). The Marketplace enables creators and advocates ("Sellers") to offer digital products and resources for purchase by buyers ("Buyers").

These Terms apply to all users of the Marketplace, including both Sellers and Buyers, and govern your access to and use of the Marketplace platform, all materials, resources, information, products, and services available on the Marketplace.

By accessing or using the Marketplace, you agree to be bound by these Terms, without modification, and acknowledge reading them. If you disagree with any part of these Terms, you may not access or use the Marketplace.

Eligibility

To access or use the Marketplace, you must be at least 18 years of age and have the legal capacity to enter into these Terms. By using the Marketplace, you represent and warrant that you meet these eligibility requirements.

Account Registration

Creating an Account

To access certain features of the Marketplace, including purchasing or selling products, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Use a strong, unique password for your account
  • Not share your account credentials with any third party
  • Notify us immediately of any unauthorized access to or use of your account
  • Accept responsibility for all activities that occur under your account

Role-Specific Terms

Sellers

If you register as a Seller, you agree to additional terms set forth in the Seller Agreement. Sellers must:

  • Retain full copyright ownership of their original content
  • Grant the Marketplace a non-exclusive, worldwide license to display, distribute, and deliver their products through the platform
  • Confirm that all uploaded content is original work or that they have full rights to sell it
  • Comply with the Marketplace's commission structure and payment terms
  • Follow all product listing guidelines and quality standards
  • Not upload materials that infringe on intellectual property rights, contain hate speech, promote violence, or contain misinformation
  • Maintain an active Stripe account to receive payments (see Stripe Payment Processing section below)

Buyers

If you purchase products from the Marketplace, you agree to:

  • Use purchased products only in accordance with the license granted by the Seller
  • Not redistribute, resell, or share purchased products with others unless explicitly permitted by the product license
  • Respect the intellectual property rights of Sellers
  • Provide honest feedback and reviews based on your actual experience with purchased products

Acceptable Use and Conduct

All users of the Marketplace agree to:

  • Use the Marketplace for lawful purposes only
  • Treat other users with respect and professionalism
  • Not engage in fraudulent, deceptive, or misleading practices
  • Not attempt to circumvent the Marketplace's payment system
  • Not use automated systems or software to extract data from the Marketplace ("scraping")
  • Not upload or transmit viruses, malware, or any other malicious code
  • Not attempt to gain unauthorized access to the Marketplace or other users' accounts
  • Comply with all applicable laws and regulations

Transactions and Payments

All purchases made through the Marketplace are subject to our Refund and Payment Policy. The Marketplace facilitates transactions between Buyers and Sellers but is not a party to the sale.

Stripe Payment Processing

Critical Requirement for Sellers: All payments, payouts, and refunds are processed through Stripe, Inc., our third-party payment processor. To sell products on the Marketplace, you must create and maintain an active Stripe account.

Stripe Account Requirements for Sellers:

  • You must connect a Stripe account during the seller registration process
  • You may connect an existing Stripe account or create a new one through our platform
  • You must provide Stripe with accurate business information, tax details, and bank account information
  • You must complete Stripe's verification process before receiving payouts
  • You are responsible for maintaining an active and valid Stripe account
  • You may list products while Stripe verification is pending, but payouts will not be processed until verification is complete

How Payments Work:

  • Buyer Payments: When a Buyer purchases a product, payment is processed securely through Stripe
  • Commission Deduction: The Marketplace commission (based on your membership tier: 15%, 12%, or 10%) is automatically deducted from each sale
  • Seller Payouts: After commission deduction, funds are transferred to your Stripe account according to your payout schedule
  • Refunds: If a refund is issued, funds are returned to the Buyer through Stripe, and the corresponding amount (including commission) is deducted from your next payout

Important: Stripe is an independent third-party service provider. Your use of Stripe is subject to Stripe's Terms of Service and Privacy Policy. The Company is not responsible for any issues related to Stripe's services, including payment processing delays, account holds, verification requirements, or service interruptions.

General Payment Terms

By making a purchase or selling products on the Marketplace, you agree to:

  • Provide accurate payment and banking information
  • Pay all applicable fees and charges associated with your purchases or sales
  • Be responsible for all taxes related to your purchases or sales
  • Accept that the Company is not liable for any issues with payment processing by third-party providers
  • Comply with Stripe's terms of service and acceptable use policies

Product Licenses and Usage Rights

When you purchase a product from the Marketplace, you receive a license to use that product as specified by the Seller. Unless otherwise stated in the product listing:

  • The license is non-exclusive, non-transferable, and for personal or internal business use only
  • You may not resell, redistribute, or sublicense the product
  • You may not claim the product as your own work
  • You must respect any attribution requirements specified by the Seller
  • The Seller retains all copyright and intellectual property rights in the product

Each product listing should specify the exact license terms that apply. It is your responsibility to read and understand the license before purchasing.

Intellectual Property

The Marketplace respects intellectual property rights and expects all users to do the same. Our detailed Intellectual Property Policy governs copyright, trademark, and intellectual property matters on the Marketplace.

The Marketplace platform itself, including its design, functionality, text, graphics, logos, and software, is owned by or licensed to the Company and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Marketplace platform without our express written permission.

Disclaimers

Platform Provider Role

The Company operates the Marketplace as a platform to facilitate transactions between Sellers and Buyers. We are not responsible for:

  • The quality, accuracy, or legality of products offered by Sellers
  • The ability of Sellers to deliver products as promised
  • Disputes between Buyers and Sellers
  • The conduct of Marketplace users
  • Issues with third-party payment processing services including Stripe

No Warranties

THE MARKETPLACE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE MARKETPLACE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE MARKETPLACE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Marketplace
  • Your violation of any rights of another party, including intellectual property rights
  • Any content or products you upload or sell through the Marketplace
  • Any disputes between you and other users of the Marketplace

Termination

We reserve the right to suspend or terminate your access to the Marketplace at any time, with or without cause, and with or without notice. Grounds for termination may include, but are not limited to:

  • Violation of these Terms or any other applicable policy
  • Fraudulent or illegal activity
  • Repeated infringement of intellectual property rights
  • Conduct that harms or may harm other users or the Marketplace
  • Extended periods of inactivity
  • Failure to maintain an active Stripe account (for Sellers)

Upon termination, your right to access and use the Marketplace will immediately cease. However, provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of these Terms and, where appropriate, by sending you notice via email or through the Marketplace. Your continued use of the Marketplace after such modifications constitutes your acceptance of the updated Terms.

Dispute Resolution

Alternative Dispute Resolution

The parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Marketplace by good faith negotiation and, if necessary, mediation before pursuing any other legal remedy. The parties agree that good faith participation in mediation is a condition precedent to pursuing litigation, arbitration, or other dispute resolution procedures.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or related to these Terms or the Marketplace shall be brought exclusively in the courts located in Montgomery County, Maryland, and you consent to the personal jurisdiction of such courts.

General Provisions

Entire Agreement

These Terms, together with the Privacy Policy, Seller Agreement (if applicable), Intellectual Property Policy, Refund and Payment Policy, and any other policies referenced herein, constitute the entire agreement between you and the Company regarding the Marketplace and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and the Company's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.
